BUSINESS CONTRACTS

Although the art of drafting contracts is as old as human society, it must constantly change and adapt to the needs and requirements of business in a world marked by technological innovation, globalization and legal development.

BRÖDERMANN & JAHN has made contract drafting and controlling one of its specialities. Its experience includes drafting contracts in relation to mergers and acquisitions, industrial plant establishment, technology and digital business, use of satellites, and international trade cases. The firm has special expertise in coping with complex contractual documents (including many interrelated contracts) and with cross-border contract negotiations and drafting. Here, the language skills of the firm have proved a useful tool (German, English, French, Spanish, Swedish, Italian, Portuguese).

In 2002 the German Law on Contractual Obligations has been completely revised. It became a necessity for every business to adapt their standard contracts accordingly. However, the impact of the new law goes far beyond standard contracts. For example, it has had an influence on the drafting of M&A contracts (see supra Chapter I). BRÖDERMANN & JAHN has developed thorough expertise in this new law, and has organized both in-house training sessions and a discussion dinner with in-house counsels, on the first practical experiences with the new law affecting virtually all business in Germany.
